We recognize that our clients need legal services in areas other than business law. For that reason, we have tried to recreate the big firm model of having specialists in a multitude of areas by developing alliances with lawyers outside our firm in the areas where our clients need advice. These areas include intellectual property (patent lawyers), employment law, litigation, international law and estate planning.
We do not simply refer our clients to these other lawyers. Instead, we remain in close contact with them to monitor the progress of the client's matter. The key to making these arrangements work is that the other lawyers are experts in their area and they are accountable not only to the clients, but also to us.

We specialize in the issues that start-up companies commonly face, from entity formation and raising capital from investors to structuring key employment relationships and strategies for protecting intellectual property.
We advise clients on compliance with federal and state securities laws in raising capital from investors. We also use our experience to help clients structure or negotiate their offerings in a manner that is responsive to market requirements.
Licensing and Technology Transfer
We help innovative companies commercialize and protect their intellectual property through licensing arrangements, and we regularly work with technology transfer companies in the spin-out of their businesses.
Executive Compensation and Tax
We help companies establish arrangements to award equity stakes in their businesses to their key employees in the most tax-advantageous manner.
We have extensive experience in drafting and negotiating commercial contracts with customers, vendors, suppliers, sales distributors and reps, joint venture partners and other parties critical to our clients' businesses.
We have represented both buyers and sellers in a wide variety of M&A transactions, many of these involving companies in fast-growth industries.
We advise clients on the application of federal and state franchise laws to various types of marketing, sales and distribution arrangements.
